Job Description: Job Title: Equities Legal Solicitor – Securities Lending and Asset Optimisation Group Corporate Title: Vice President, Assistant General Counsel up to Director, Assistant General Counsel. Location: London Role Description: Providing advisory support to the Equities Synthetics and Securities Lending (“ESSL”) desks with an emphasis on securities financing transactions. Providing legal advice on development of new products and structures. Review and negotiation of third party security arrangements, term margin agreements and other bespoke documentation. Creation and maintenance of product templates, guidelines and legal documentation summaries Involvement with related due diligence projects and other reviews, including those related to compliance with existing and forthcoming legislation and regulations, for e.g. CSDR, SFTR, UMR, MiFID II. Liaising with external counsel in the development of new products and regulatory compliance. Providing legal support in response to escalations received from the Agreements & Documentation and Confirmations groups relating to the negotiation of securities lending and equity financing documentation. Close engagement with Business and other key stakeholders (Compliance, Tax, Risk, Credit). Working closely with peers in offshore regional legal teams. The Team: EMEA Equities Legal is a team of 31 lawyers led by Mark Skinner, with 30 FTE located in London and 1 FTE in Paris. Prime Services Legal is a sub-set of this team currently comprised of 8 lawyers, including Vanessa Sharp (MD), 2 Directors, 4 VPs and this outstanding vacancy. The Prime Services Legal team is a highly collaborative team with a strong working relationship. The team works closely with the Prime Brokerage, Securities Lending and swaps businesses, as their trusted advisors who work in partnership with the line of business in furtherance of achieving its goals. Cumulatively the team has a vast amount of experience and are well placed to provide ongoing support and training, with senior members actively identifying development opportunities for more junior team members. More broadly, the Global Markets Legal team have an internal mentoring program, connecting senior leaders across the legal department with teammates across all regions. In addition, the Global Markets Legal team have an external mentoring program with its key magic circle law firms, helping to develop and support diverse lawyers and in furtherance of a creating a legal profession which represents the diversity of our communities. Key skills: Qualified Solicitor Experience of investment banking (preferably markets/ clearing businesses) either through private practice advisory work/secondment or in-house legal department Thorough understanding of securities lending (including Agency Lending arrangements) and collateral arrangements. Advisory and drafting experience in equity swaps and supporting a central funding desk would also be an advantage. Familiarity with the GMSLA, ISDA, CSA and Swap Master Confirmation. Understanding of predominate regulations affecting securities financing transactions. Familiarity with the netting and collateral enforceability requirements for regulatory capital purposes. Experience of legal advisory work with particular attention to regulations applicable to equity financing transactions Transactional and deal experience, including the effective instruction of external counsel.
